The rules and guidelines that govern your use of Softnixt's services and platform.

Acceptance of Terms
By accessing or using the Softnixt website (softnixt.com) or engaging Softnixt Solutions for any service, you agree to be bound by these Terms of Service. If you are acting on behalf of a company or organisation, you represent that you have authority to bind that entity to these terms. If you do not agree, please do not use our website or services.

Our Services
Softnixt provides custom software development services including, but not limited to:
- Web application design and development
- Mobile application development (iOS and Android)
- AI and machine learning integrations
- Cloud infrastructure setup and DevOps engineering
- Cybersecurity consulting and implementation
- IT consulting and technical advisory
Specific deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

Project Engagements
All development work is governed by a project agreement or SOW. The following applies to all engagements:
- Scope changes requested after sign-off may result in revised timelines and additional fees
- Softnixt will provide progress updates at agreed intervals throughout the project
- Client approval of milestone deliverables is required before subsequent phases begin
- Softnixt reserves the right to pause work if outstanding invoices are not settled within agreed payment terms

Client Responsibilities
To ensure successful project delivery, clients are expected to:
- Provide accurate, complete, and timely information, content, and feedback
- Designate a primary point of contact with authority to make project decisions
- Respond to requests for review or approval within the timeframes agreed in the SOW
- Respect the intellectual property rights of Softnixt and any third-party tools or libraries used in the project
- Not use Softnixt's services for any unlawful, harmful, or deceptive purpose

Payments & Invoicing
Payment terms are set out in the project agreement. General conditions include:
- A non-refundable deposit (typically 30–50% of project value) is required before work commences
- Milestone payments are due upon delivery and client approval of each milestone
- Invoices are payable within 14 days of issue unless otherwise agreed in writing
- Late payments may incur interest at 2% per month on the outstanding balance
- Softnixt reserves the right to withhold final deliverables until all outstanding payments are cleared
Refunds are handled on a case-by-case basis and are generally limited to work not yet commenced. The deposit is non-refundable.

Intellectual Property
Upon full payment of all fees, all custom code, designs, and deliverables created exclusively for the client become the client's property. The following exceptions apply:
- Pre-existing Softnixt tools, frameworks, libraries, or methodologies remain the property of Softnixt
- Open-source components are subject to their respective licences
- Softnixt retains the right to reference the project in its portfolio unless a specific NDA restricts this
Clients may request full IP assignment with NDA in writing before project commencement. NDA terms are available on request.

Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Softnixt will not disclose your project details, business data, or trade secrets to third parties without your prior written consent, except where required by law or necessary to engage subcontractors bound by equivalent confidentiality obligations.

Limitation of Liability
To the fullest extent permitted by law, Softnixt's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. Softnixt is not liable for:
- Indirect, incidental, special, or consequential damages
- Loss of revenue, profits, data, or business opportunities
- Damages resulting from client-supplied content, third-party services, or client decisions
- Service interruptions caused by factors outside our reasonable control

Warranties & Disclaimers
Softnixt warrants that services will be performed with reasonable skill and care in accordance with the agreed specifications. Except as expressly stated, all services are provided 'as is' without warranty of any kind. We do not warrant that deliverables will be free from all defects, but we will use reasonable efforts to correct any defects reported within the post-launch support period defined in the project agreement.

Termination
Either party may terminate a project engagement with written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days. On termination:
- The client will pay for all work completed up to the termination date
- Softnixt will deliver all completed work and project assets in its possession
- Pre-existing obligations such as confidentiality survive termination

Governing Law
These Terms of Service are governed by and construed in accordance with applicable law. Any disputes will be resolved in good faith through negotiation before any formal proceedings are initiated. If a dispute cannot be resolved amicably, both parties agree to seek mediation before litigation.

Changes to These Terms
We may revise these Terms of Service from time to time. The updated version will be posted at softnixt.com/terms with the effective date. Continued use of our website or services after changes constitutes acceptance. For active project engagements, the terms agreed in the signed project agreement take precedence over this page.
